Agreement Type: Creator Vendor Agreement
This agreement governs the relationship between Creators (vendors) and DevLoot as a distribution platform. By uploading content to DevLoot, you agree to these terms. This agreement supplements our Terms of Service.
1. Definitions
- Creator/Vendor: You, the individual or entity uploading and selling products on DevLoot
- Content: The digital products (assets, tools, games, etc.) you create and upload
- DevLoot/Platform: The marketplace operated by DevLoot that distributes your content
- Gross Revenue: Total sale price before any deductions or fees
- Net Revenue: Your share of revenue after DevLoot's platform fee
- Direct Sales: Customer purchases made directly through DevLoot
- Membership Sales: Revenue from DevLoot membership subscriptions that provide content access
- Funding Sales: Revenue from community funding campaigns or early access programs
2. Vendor-Platform Relationship
Independent Contractor Status: You are an independent contractor, not an employee, agent, or partner of DevLoot. This agreement does not create an employment relationship or partnership.
Your Control: You retain full control over your content, pricing (within DevLoot's guidelines), product descriptions, and publication decisions. DevLoot provides the distribution platform and handles payment processing.
DevLoot's Role: DevLoot provides hosting, payment processing, customer support, marketing tools, and distribution services. DevLoot does not represent you in business dealings and is not liable for third-party disputes involving your content.
3. Content Ownership and Rights
Your Ownership: You retain all intellectual property rights to your content. DevLoot does not claim ownership of your creative works, and you remain the copyright holder.
License Grant: By uploading content to DevLoot, you grant DevLoot a non-exclusive, worldwide, royalty-free license to:
- Reproduce and distribute your content through our platform
- Display your content on the DevLoot marketplace
- Create promotional materials and previews of your content
- Store your content on our servers and backup systems
- Process and handle customer transactions related to your content
- Collect and use analytics data about your sales and user interactions
Warranty of Rights: You warrant that you own or have licensed all necessary rights to the content you upload. You are responsible for ensuring your content does not infringe third-party intellectual property rights.
4. Distribution License Grant
By uploading content, you grant DevLoot the right to distribute that content to customers who purchase it under the Standard License (or custom license if specified). Customers receive a license to use your content according to the terms provided on the product page.
Content Removal: You may request removal of your content from DevLoot at any time. Upon removal, new customers cannot purchase your content, but previously sold licenses remain valid for existing customers.
Exclusivity: DevLoot does not require exclusive rights to your content. You may sell the same content on other platforms simultaneously.
6. Payment Processing via Stripe Connect
Stripe Integration: DevLoot uses Stripe Connect to process payments to creators. By accepting payments through our platform, you agree to Stripe's Terms of Service and agree to provide necessary banking and tax information.
Account Setup: To receive payments, you must:
- Connect your Stripe account to your DevLoot Creator profile
- Provide valid banking information and tax identification
- Maintain an active, verified Stripe account
- Update payment information if banking details change
Stripe Fees: Stripe may charge processing fees, transfer fees, or other charges as outlined in their pricing structure. These fees are the responsibility of the creator and will be deducted from your payout or charged separately by Stripe.
Stripe Holds and Disputes: Stripe may place holds on payouts or dispute charges. DevLoot is not liable for Stripe-initiated holds, disputes, or account restrictions. You must resolve payment issues directly with Stripe.
7. Content Requirements and Standards
Quality Standards: Content must meet the following requirements:
- Complete and functional (tested in the stated software/engine versions)
- Free of malware, viruses, or malicious code
- Accurately described with truthful product information
- Original creation or properly licensed from other creators
- Not containing infringing material or copyrighted content
- Appropriate preview images and documentation
- Clear file structure and organized assets
Content Guidelines: Content must comply with DevLoot's content policy and applicable laws:
- No illegal content or materials that promote illegal activity
- No hate speech, discrimination, or violent content (with limited exceptions for games)
- Sexually explicit content is prohibited unless clearly labeled
- No malware, adware, or tools designed to harm systems
- No plagiarized or stolen content
Pricing Guidelines: Creators may set their own pricing, but DevLoot reserves the right to flag suspiciously low or high pricing relative to comparable products. We may request justification or adjustment.
8. Content Removal and De-listing
Removal by Creator: You may remove your content from DevLoot at any time by deleting it from your Creator dashboard. Upon removal:
- The content is no longer available for new purchases
- Existing customer licenses remain valid
- You stop receiving revenue from new sales
- Content files are retained for 90 days for customer downloads, then deleted
Removal by DevLoot: DevLoot may remove or de-list content if:
- Content violates this agreement or DevLoot's policies
- Content infringes intellectual property rights
- Content contains malware or is broken/non-functional
- Multiple customer complaints indicate quality issues
- Content is involved in fraudulent activity
DevLoot will provide notice and opportunity to cure violations except in cases of illegal content or immediate safety risks.
9. Creator Warranties and Representations
You represent and warrant that:
- You have the legal right to upload and distribute the content
- The content is your original creation or you have obtained necessary licenses
- The content does not infringe any intellectual property rights
- The content complies with all applicable laws and regulations
- Product information and descriptions are accurate and truthful
- Content is free of malware, viruses, and malicious code
- You have obtained all necessary permissions and clearances for the content
- The content does not contain undisclosed third-party materials or dependencies
10. Indemnification
You agree to indemnify, defend, and hold harmless DevLoot and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your content infringing third-party intellectual property rights
- Your violation of this agreement or applicable laws
- Claims by third parties regarding your content
- Your content causing harm or damage to users or their systems
- Disputes with customers regarding your products or services
This indemnification survives termination of this agreement.
11. Tax Responsibilities
Tax Obligations: You are responsible for:
- Calculating, reporting, and paying all applicable income taxes
- Filing all required tax returns (federal, state, local)
- Remitting sales tax where applicable (DevLoot does not collect sales tax)
- Reporting income from platform sales to tax authorities
- Maintaining records of transactions for tax purposes
Tax Documentation: DevLoot will provide 1099-K or equivalent tax documentation for reporting purposes (as required by applicable tax laws). You are responsible for ensuring accurate W-9/tax identification information in your Stripe account.
Tax Compliance: DevLoot is not responsible for your tax obligations. You should consult with a tax professional regarding your specific situation, particularly if you are subject to sales tax, VAT, or other jurisdictional taxes.
12. Term and Termination
Term: This agreement is effective when you first upload content to DevLoot and continues indefinitely unless terminated.
Termination by Creator: You may terminate this agreement at any time by:
- Removing all your content from the platform
- Closing your Creator account
- Sending written notice to creators@devloot.com
Upon termination by you, your content is removed from DevLoot, but existing customer licenses remain valid.
Termination by DevLoot: DevLoot may terminate this agreement if:
- You violate this agreement or DevLoot's policies
- You engage in illegal activity or fraud
- Your content repeatedly violates content guidelines
- You operate in a jurisdiction where DevLoot cannot legally operate
- You engage in abusive behavior toward customers or DevLoot staff
DevLoot will provide notice and opportunity to cure violations except in cases of fraud or illegal activity. Upon termination, all your content is removed and you forfeit the right to distribute through DevLoot.
13. Dispute Resolution
Informal Resolution: Before pursuing formal action, both parties agree to attempt informal resolution by contacting creators@devloot.com with details of the dispute.
Governing Law: This agreement is governed by the laws of the State of Delaware.
Arbitration: Any dispute arising from this agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. Each party shall bear its own legal costs.
Injunctive Relief: Notwithstanding arbitration, either party may seek injunctive relief in court to prevent immediate harm (such as removal of infringing content).
14. Pre-Release Listings (Alpha & Beta)
Creators may publish listings in one of three release stages, selected on the product-creation form:
- Stable — default. The listing is production-ready, the version number reflects a completed release, and the asset is expected to work as described in the product listing.
- Beta — feature-complete builds that may have rough edges, minor bugs, or incomplete documentation. Appropriate for public early-access releases where the scope is locked but polish is ongoing.
- Alpha — early, unstable builds intended for testers willing to tolerate frequent breakage. Core functionality may be missing or change between releases. Not appropriate for production use.
Honest Labeling: Creators must select the stage that best describes the actual state of the asset. Mislabeling — for example, marking a polished, production-ready listing as Beta to lower buyer expectations or suppress reviews — is a violation of this Agreement and may result in listing removal, loss of Verified status, and in repeated cases suspension of the storefront.
Buyer Disclosure: Alpha and Beta stages are displayed as conspicuous badges on every product card and on the detail page. Buyers are deemed to have been informed of the stage at the time of purchase.
Refunds: The standard 14-day refund window (Terms § 7) applies to pre-release listings. The fact that a listing is in Alpha or Beta does not automatically entitle a buyer to a refund beyond the standard policy; it also does not waive the buyer's right to a refund if the asset is defective relative to what was described.
Upgrades: Buyers who purchase an Alpha or Beta listing receive future Stable versions of the same product at no additional cost, provided the packageName or product identity is retained across versions.
15. AI-Assisted Disclosure
Self-Disclosure Requirement: If generative AI tools were used in any substantial part of the asset — including but not limited to art generation, code generation, audio synthesis, 3D model generation, writing, or texture synthesis — the Creator must enable the “AI-assisted” toggle on the product form. The disclosure is surfaced to buyers as a badge on the product detail page and in the quick-view modal.
What Counts as “Substantial”: Use of AI for meaningful portions of the deliverable counts. Minor, incidental use — e.g. AI-autocompleted comments in otherwise hand-written code, or AI-assisted copy-editing of marketing text — does not require disclosure. When in doubt, disclose.
Training Data & Third-Party Rights: Creators warrant that any AI-generated content used in their listings does not infringe the rights of third parties. DevLoot does not independently verify training data provenance, but Creators remain responsible under section 9 (Warranties and Representations) for ensuring they have the right to distribute every component of their asset, regardless of how it was produced.
Platform Rights: DevLoot reserves the right to remove or require disclosure on listings that appear to be wholly AI-generated but are not labeled as such, and to require additional proof of rights where infringement is suspected.
16. DevLoot Pro Subscription
Overview: DevLoot Pro is an optional creator-side subscription that reduces the DevLoot platform fee from 12% to 8% on direct sales, unlocks Membership Sales (recurring subscriptions from your followers), and provides additional creator tooling. Pro is separate from the buyer-side DevLoot account and is billed directly by DevLoot (not via Stripe Connect).
Pricing & Billing: Pro is billed monthly in USD at the rate displayed on the upgrade page inside the vendor dashboard at the time of subscription. Rates may change with 30 days notice; existing subscribers are grandfathered for the remainder of their current billing cycle.
Pro Features:
- Reduced direct-sales platform fee (8% vs. 12% on Free tier)
- Creator Memberships (recurring-revenue subscriptions from followers)
- Custom storefront subdomain and profile-page customization
- Priority listing review and moderation response
- Analytics export and extended dashboard metrics
- Eligibility gate for the Verified Creator program (see section 17)
Cancellation: Pro can be cancelled at any time from the vendor dashboard. Cancellation takes effect at the end of the current billing period. No pro-rated refunds are issued; the Creator retains Pro benefits through the paid-through date.
Downgrade Behavior: On downgrade, Membership Sales already active continue to pay out at the Pro rate (the rate in effect when the subscription was sold) through the end of each buyer's current billing cycle. Direct-sales platform fee reverts to 12% on sales occurring after the downgrade effective date.
17. Verified Creator Program
Purpose: The Verified badge is a trust signal indicating DevLoot has confirmed the Creator's identity and history of good standing. It is not a quality endorsement — it does not mean DevLoot has reviewed or approved any specific listing's quality.
Eligibility: Verified status is available to Creators who meet all of the following:
- Active DevLoot Pro subscription in good standing
- Identity verified via Stripe Connect onboarding (required for all payouts)
- Maintained an average product rating of 4.0+ over at least 90 days of sales activity
- No active or unresolved DMCA, trust-and-safety, or refund-dispute moderation actions
- Accepted this Agreement and the Terms of Service in their latest form
Badge Display: Verified Creators receive a visual badge on their storefront page, on every product card, and on every listing's detail page. The badge links to this section of the Agreement so buyers can understand what it does and does not represent.
Revocation: DevLoot may revoke Verified status at any time if eligibility criteria are no longer met. Reasons include (but are not limited to): cancellation of the Pro subscription, a sustained drop in average rating, an upheld DMCA notice, a pattern of mislabeled pre-release listings, or a pattern of missing AI-assisted disclosures. Creators will be notified of revocation with the specific reason and, where applicable, an opportunity to cure before revocation takes effect.
No Guaranteed Right: Inclusion in the Verified program is at DevLoot's discretion. Meeting the eligibility criteria above does not create an automatic right to the badge. DevLoot may decline Verified status in exceptional cases (e.g. active regulatory or legal inquiry concerning the Creator).
